Terms of Use

Welcome to ZongYun. These Terms of Use (the “Terms”) govern your use of the ZongYun iOS application and any related services (the “App”). By downloading, installing, or using the App, you agree to these Terms. If you don’t agree, please don’t use the App.

1. Eligibility

You must be at least 13 years old (or the minimum digital consent age in your country) to use the App. By using the App, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.

2. Your account

If the App requires you to create an account, you agree to provide accurate information and to keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. Notify us promptly if you suspect any unauthorized use.

3. License to use the App

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the App on any Apple-branded device that you own or control, for your personal, non-commercial use. All rights not expressly granted are reserved.

4. Acceptable use

You agree not to:

• Violate any applicable law or regulation, or the rights of others.
• Reverse engineer, decompile, or attempt to extract the source code of the App, except to the extent permitted by law.
• Interfere with or disrupt the App, its servers, or networks.
• Upload viruses, malware, or other harmful code.
• Use the App to harass, abuse, defame, or harm other people.
• Attempt to gain unauthorized access to any part of the App or accounts that are not yours.
• Use automated means (bots, scrapers, etc.) to access the App in a way that interferes with its operation.

5. Your content

You retain ownership of any content you create, upload, or store in the App (“Your Content”). You grant us a limited, worldwide, royalty-free license to host, store, and process Your Content solely to the extent necessary to provide the App to you. You are responsible for Your Content and confirm that you have all rights needed to use it in the App.

6. Intellectual property

The App, including its software, design, text, graphics, and logos, is owned by ZongYun or its licensors and is protected by copyright, trademark, and other laws. Except for the license granted above, these Terms do not grant you any rights in our intellectual property.

7. Purchases & subscriptions

The App may offer optional paid features, one-time purchases, or subscriptions through Apple’s App Store. All purchases are processed by Apple and are subject to Apple’s terms. Subscriptions renew automatically unless canceled at least 24 hours before the end of the current period; manage or cancel subscriptions in your Apple ID settings. Except where required by law, purchases are non-refundable.

8. Third-party services

The App may link to or interoperate with third-party services. We are not responsible for, and make no warranties about, third-party services. Your use of them is governed by their own terms and privacy policies.

9. Termination

You may stop using the App at any time and may delete your account through the App or by contacting us. We may suspend or terminate your access if we reasonably believe you have violated these Terms or if we discontinue the App. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, and limitations of liability.

10. Disclaimers

The App is provided “as is” and “as available,” without warranties of any kind, either express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or secure.

11. Limitation of liability

To the fullest extent permitted by law, ZongYun will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of the App. Our total liability for any claim relating to the App will not exceed the greater of (a) the amount you paid us in the 12 months before the claim, or (b) USD 50.

12. Indemnification

You agree to indemnify and hold harmless ZongYun and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the App, your violation of these Terms, or your violation of any rights of a third party.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which ZongYun operates, without regard to its conflict-of-laws rules. You and ZongYun agree to submit to the exclusive jurisdiction of the competent courts in that jurisdiction, except where local consumer-protection laws give you additional rights.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we’ll post the updated Terms in the App with a new “Last updated” date and, where appropriate, provide additional notice. Your continued use of the App after changes become effective constitutes acceptance of the revised Terms.

15. Apple-specific terms

The following applies if you obtained the App from the Apple App Store:

• These Terms are between you and ZongYun only, not with Apple. Apple is not responsible for the App or its content.
• Apple has no obligation to furnish any maintenance and support services for the App.
• In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the App to you (if any). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
• Apple is not responsible for addressing any claims by you or any third party relating to the App, including product liability claims, consumer-protection claims, or intellectual-property claims.
• Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce them against you.
